Upon the introduction of a willing Buyer to a willing Seller, Broker Group has fulfilled Broker Group’s Brokerage Services concerning the sale/purchase of a Business or other transaction.

Broker does not do due diligence on either party. Seller and/or Buyer are notified that in the view of the important legal, tax and financial aspects and the complexity of a transaction, they /he / she are advised by Broker to obtain the appropriate counsel from legal, accounting, tax and other professionals.

AEG does not give legal, accounting, tax, financial or investment advice. AEG does not verify anything, makes no representations or warranties, of any kind and is not responsible for any opinions, however expressed. Business opportunity risks include legal, regulatory, financial, economic, management and changes in markets or demand. AEG advises reader to personally verify everything and seek competent counsel prior to making any decisions or taking any actions.

Any and all representations and warranties shall be made solely by the Seller or Buyer in a signed purchase agreement and then be subject to the provisions thereof. Broker Group has not made and will not make any representations or warranties, expressed or implied, regarding any fact about the business assets or business stock being sold; nor any legal issues, aspect or ramification connected with the proposed purchase/sale. Broker Group made no, nor will it make, any representation or warranty to Seller concerning the financial condition of, or any matter relating to, the Buyer of the Business. In fact, Broker Group will make no independent investigation or verification of any representation, warranty, document, or piece of information presented by Seller or Buyer in the transaction. Seller and Buyer will do their own, independent investigation with respect to such items and are advised by Broker Group to do so.

Business opportunities, by their very nature, carry legal, regulatory, financial, economic, management and changes in markets or demand risk. Some of these risks include: 1) obsolescence or reduced demand for service or product, 2) regulatory laws, 3) ineffective management, 4) changes in the local or national economic condition, and many others. Due to the risks inherent in business opportunities, a loss could occur including, but not limited to, the entire investment. Reader acknowledges that he/she understands these risks and that AEG cannot and does not in any way warrant or guarantee the future vitality or prospects of any business.

AEG may act as a business intermediary and may be compensated by both parties. All fees due AEG are covered under separate engagement agreement(s). A broker who acts as an intermediary in a transaction: (1) shall treat all parties honestly; (2) may not disclose that the owner will accept a price less than the asking price unless authorized in writing to do so by the owner; (3) may not disclose that the buyer will pay a price greater than the price submitted in a written offer unless authorized in writing to do so by the buyer; and (4) may not disclose any confidential information or any information that a party specifically instructs the broker in writing not to disclose unless authorized in writing to disclose the information or required to do so by a court order or if the information materially relates to the condition of the property. An Agent has affirmative obligations to the parties of honest and fair dealing and disclosure.
